Terms of Service

These Terms of Service (“Terms”) govern your use of the NewVita Property Group payment portal and the services described in any invoice issued by NewVita. By submitting payment, you confirm that you have read, understood, and agree to be bound by these Terms.

Acceptance of Terms

By completing payment through the NewVita payment portal, you enter into a binding agreement with NewVita Property Group (“NewVita”, “we”, “us”). These Terms apply to all services described in the invoice associated with your payment.

If you are acting on behalf of a corporation, estate, or other legal entity, you represent that you have authority to bind that entity to these Terms.

If you do not agree to these Terms, do not proceed with payment. Contact us at payments@newvita.ca before completing your transaction.

About NewVita

NewVita Property Group is a sole-operator property representation service based in Edmonton, Alberta, Canada. NewVita operates as an independent, non-franchised business owned and operated by Matthew Shoup.

NewVita is not a property management company, real estate brokerage, licensed property inspector, or contractor. NewVita does not place tenants, collect rent, or enter into lease agreements on behalf of clients.

Services Provided

NewVita provides on-site property presence, monitoring, documentation, and coordination services for property owners in Edmonton and surrounding communities. Services are described in detail in each invoice and may include any of the following:

  • Vacant property monitoring and exterior/interior condition checks
  • Insurance compliance monitoring and documentation
  • Realtor and listing support (showing readiness, lockbox coordination, sign installation)
  • Remote owner concierge services (contractor access, package retrieval, key holding)
  • Builder and construction site progress monitoring
  • Estate and probate property support
  • Seasonal property services and emergency response attendance
  • Drone aerial documentation (add-on)
  • Any other service described in a specific invoice

Services not described in the invoice are not included. Additional services may be requested and will be confirmed with a separate invoice.

Payment & Fees

All amounts are denominated in Canadian dollars (CAD). Payment is due on the date specified on the invoice unless otherwise agreed in writing.

  • Invoices outstanding beyond 30 days from the due date may be subject to interest at 2% per month (24% per annum), compounding monthly, calculated from the due date.
  • A surcharge of 5% applies to cryptocurrency payments to cover exchange and processing fees. This surcharge is itemized on applicable invoices.
  • NewVita reserves the right to suspend or decline future services on accounts with outstanding balances.

Payment is processed securely through Stripe (card, Apple Pay, Google Pay). NewVita does not store card details. All card transactions are subject to Stripe's Terms of Service.

Goods and Services Tax (GST)

NewVita Property Group is registered for GST under the Excise Tax Act (Canada), GST Registration Number 787850239RC0001. GST at 5% is applied to all taxable supplies in accordance with federal law.

Alberta has no provincial sales tax (PST). No PST is collected or remitted.

GST-registered clients may be eligible to claim an Input Tax Credit (ITC) for GST paid on services acquired for commercial purposes. Consult your accountant or the Canada Revenue Agency for guidance specific to your situation.

The GST amount is always itemized separately on NewVita invoices. The total amount payable includes GST where applicable.

Cancellation & Refunds

NewVita's refund policy is as follows:

  • Services not yet commenced: A full refund will be issued on request within 7 calendar days of the invoice date, provided no work has been performed.
  • Services partially completed: A pro-rated credit or refund will be issued for the portion of services not yet rendered, at NewVita's discretion.
  • Services fully rendered: No refund is available once services have been completed and documented.
  • Emergency and same-day services: Non-refundable once dispatched, regardless of outcome.
  • Scheduling disputes: If a scheduled visit was missed due to NewVita's error, the visit will be rescheduled at no additional charge or a credit issued.

Refund requests must be submitted in writing to payments@newvita.ca. Approved refunds are processed within 10 business days via the original payment method.

Service Standards & Disclaimers

NewVita will perform all services with reasonable care and skill. We attend properties and document conditions as observed at the time of each visit.

Documentation, photos, and reports provided by NewVita are observational records only. They do not constitute:

  • A professional property inspection under Alberta's Home Inspection Business Act or any other legislation
  • An engineering, structural, or environmental assessment
  • A real estate appraisal or valuation
  • A legal opinion or insurance assessment

NewVita does not guarantee specific outcomes (e.g., property condition remaining unchanged between visits), and is not responsible for damage, theft, vandalism, or deterioration that occurs between scheduled visits or that was not observable during a visit.

Limitation of Liability

To the maximum extent permitted by the laws of Alberta, NewVita's total aggregate liability arising out of or related to any invoice or service is limited to the fees actually paid by you under that invoice.

NewVita is not liable for:

  • Indirect, consequential, incidental, special, or punitive damages of any nature
  • Loss of revenue, loss of use, or diminution in property value
  • Work performed by third-party contractors, tradespeople, or service providers
  • Events beyond our reasonable control (force majeure), including severe weather, natural disasters, power outages, or government orders
  • Criminal acts by third parties, including theft, vandalism, or break-ins
  • Conditions that were not observable during a visit (e.g., hidden leaks, concealed damage, interior conditions behind locked doors)

Nothing in these Terms limits liability for death or personal injury caused by NewVita's negligence, or for fraud or fraudulent misrepresentation.

Your Responsibilities

By engaging NewVita's services, you confirm that:

  • You are the registered owner of, or are otherwise legally authorized to arrange services for, the property named in the invoice
  • All information provided to NewVita (property address, access instructions, contact details) is accurate and complete
  • You will promptly inform NewVita of any access restrictions, tenant occupancy status, hazardous conditions, alarm codes, or third-party obligations that may affect service delivery
  • You will not use NewVita's services for any unlawful purpose
  • You are at least 18 years of age and have legal capacity to enter into this agreement

Privacy & Personal Information

Personal information collected in connection with your invoice and payment — including your name, email address, phone number, and property address — is handled in accordance with NewVita's Privacy Policy, which is incorporated into these Terms by reference.

Payment card data is processed exclusively by Stripe and is never stored by NewVita. Stripe's privacy practices are governed by their own privacy policy.

Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Alberta and the applicable federal laws of Canada, without regard to conflict of law principles.

The courts of competent jurisdiction in Edmonton, Alberta shall have exclusive jurisdiction to resolve any dispute arising from or relating to these Terms or any services provided by NewVita, except where the parties agree to arbitration under Section 12.

Dispute Resolution

In the event of a dispute arising from these Terms or from services provided by NewVita, the parties agree to the following process:

  • Step 1 — Direct resolution: Contact NewVita at payments@newvita.ca with a written description of the dispute. NewVita will respond within 5 business days and attempt to resolve the matter within 15 business days.
  • Step 2 — Mediation: If direct resolution fails, either party may request non-binding mediation through a mutually agreed mediator in Edmonton, Alberta.
  • Step 3 — Arbitration: Unresolved disputes may be submitted to binding arbitration in Edmonton, Alberta under the Arbitration Act, RSA 2000, c A-43. The arbitrator's decision is final and binding.

Nothing in this section prevents NewVita from seeking emergency injunctive or equitable relief in a court of competent jurisdiction.

Amendments & Contact

NewVita reserves the right to update these Terms at any time. The version in effect at the time of payment governs that transaction. Material changes will be posted at newvita.ca/terms. Continued use of the payment portal following any update constitutes acceptance of the revised Terms.
